Terms of Service

These Terms of Service ("Terms") govern your use of the KarmaCruze waitlist and the karmacruze.com website (the "Site"), operated by KarmaCruze LLC ("KarmaCruze," "we," "us," or "our"). By joining the waitlist or using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. Who can join

You must be at least 18 years old to join the KarmaCruze waitlist. By signing up, you represent that you are 18 or older and that the information you provide is accurate.

2. The waitlist

Joining the waitlist reserves your spot for early access when KarmaCruze launches in your region. We determine launch regions based on signup density, regulatory readiness, and other factors. We do not guarantee that:

• KarmaCruze will launch in your region by any specific date.
• You will receive access at any particular time relative to other waitlist members.
• Any "founding member" benefit, discount, or perk will be available indefinitely or at any specific value.

Founding-member benefits, if offered, will be described to you in writing before you accept them at launch.

3. Your account information

You're responsible for the accuracy of the information you give us. If your email changes, contact us at waitlist@karmacruze.com so we can update your record. Don't sign up using someone else's email address or impersonate anyone.

4. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent information.
• Sign up multiple times to manipulate regional counts or founding-member positioning.
• Use bots, scripts, or automated tools to interact with the Site.
• Attempt to access, probe, or scan the Site or its systems for vulnerabilities.
• Interfere with or disrupt the Site, its servers, or networks connected to the Site.
• Use the Site for any unlawful purpose or in violation of these Terms.

We reserve the right to remove signups that we believe violate these Terms, without notice.

5. Communications

By joining the waitlist, you consent to receive emails from KarmaCruze related to your waitlist status, regional launch updates, founding-member offers, and major product announcements. You can unsubscribe at any time using the link in any email or by emailing waitlist@karmacruze.com. We won't send you marketing emails unrelated to KarmaCruze, and we won't share your email with third parties for their marketing.

6. Intellectual property

The KarmaCruze name, logo, brand elements, Site design, copy, and all related content are the property of KarmaCruze LLC and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written permission, except for personal, non-commercial use of publicly available pages.

7. Third-party services

The Site relies on third-party services including Google Workspace, Google Sheets, Netlify, and Zippopotam.us. We're not responsible for the practices, availability, or content of those third-party services. Their terms and privacy policies apply when you interact with them.

8. No warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, error-free, or secure. Waitlist position is not a contract for service.

9. Limitation of liability

To the fullest extent permitted by law, KarmaCruze LLC, its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or the waitlist, even if we've been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms or your use of the Site will not exceed one hundred US dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless KarmaCruze LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the Site or remove your waitlist signup at any time, with or without notice, for any reason, including violation of these Terms. You may unsubscribe or request deletion of your waitlist record at any time by emailing waitlist@karmacruze.com.

12. Changes to the Site or Terms

We may modify or discontinue the Site or any feature at any time. We may update these Terms as KarmaCruze grows; the "Last updated" date will reflect any changes. If the changes are material, we'll notify you by email before they take effect. Your continued use of the Site after the effective date of any change constitutes your acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction of those courts.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KarmaCruze LLC regarding the waitlist and your use of the Site.
